2. Definitions

"1555," "we," "us," "our" refers to 1555 Music Curation "Customer," "you," "your" refers to the purchasing business entity "Service" refers to our curated music soundscape digital products "Soundscape" refers to our curated music collections delivered as Spotify playlists "Soundtrack" refers to the Soundtrack professional audio streaming platform "License" refers to your right to access and use a purchased music soundscape "Venue" refers to your commercial location(s) using our music soundscapes "PDF Delivery" refers to the digital document containing your soundscape access links and license information

3. Service Description

3.1 Soundscape Products

1555 creates professionally curated music collections (Soundscapes) for commercial venues. Each Soundscape is a curated playlist delivered as a private Spotify link. Content duration and details are shown on each Soundscape's product page.

3.2 Delivery Method

Our Soundscapes are delivered digitally via PDF download after purchase. Your PDF contains:

• Private Spotify playlist link(s) for your purchased Soundscape(s)
• License information and permitted use details
• Link to setup a Soundtrack account
• Link to Soundtrack's Help Center for setup guidance

3.3 Required Playback Method

Soundscapes must be played through the Soundtrack professional platform for commercial use.

• Add your Soundscape Spotify links to your Soundtrack account for compliant playback
• Soundtrack handles upstream music licensing and royalties
• Requires separate Soundtrack subscription (approximately €31.50/month per zone)
• You are responsible for setting up your Soundtrack account using the provided link
• Technical setup support is available through Soundtrack's customer service team
• You remain responsible for obtaining public performance licenses from your local collection society

3.4 Spotify Links - Technical Delivery Only

Soundscapes are delivered as Spotify playlist links for technical compatibility with the Soundtrack platform. These links are provided solely for adding to your Soundtrack account.

Spotify's terms of service prohibit commercial public performance use.

Using Soundscape links directly through Spotify for commercial purposes:

• Violates Spotify's Terms of Service
• Does not include required music licensing for commercial use
• May result in legal liability for copyright infringement
• Is not a permitted use under your 1555 license

1555 Music Curation is not responsible for any consequences arising from misuse of Spotify links for direct commercial playback.

4. Purchase and Licensing Terms

4.1 License Types and Pricing

Licenses are sold based on the number of venues where the Soundscape will be used:

• 1 Location License - For use in a single commercial venue
• 2 Location License - For use in two commercial venues
• 3 Location License - For use in three commercial venues
• Enterprise/Multi-Location - For chains, offices, or 4+ locations, contact us for bespoke licensing

Current pricing is shown on our website. If you are unsure which license to purchase, contact us via the contact page and we will assist you in selecting the correct license.

4.2 Payment Processing

All payments are processed by Payhip as merchant of record for digital transactions. Payment is required in full at purchase. Payment terms are governed by Payhip's terms of service in addition to these terms.

4.3 License Grant

After successful payment and PDF delivery, you receive a non-exclusive, non-transferable license to use the purchased Soundscape(s) for the permitted purposes and number of locations specified in your license tier.

4.4 Soundtrack Subscription Requirement

Commercial use of Soundscapes requires Soundtrack for compliant playback:

• Soundtrack subscription is separate from your Soundscape purchase
• You are responsible for creating and maintaining your Soundtrack account
• You are responsible for all Soundtrack subscription payments (paid directly to Soundtrack)
• You must comply with Soundtrack's terms and conditions
• Soundtrack's customer service team provides technical setup support
• Soundtrack handles upstream music licensing but does NOT replace your local public performance license requirements

4.5 Public Performance Licensing

Regardless of playback method (Spotify or Soundtrack), you remain responsible for obtaining public performance licenses from your local collection society.

Such as:

• GEMA (Germany)
• PPL/PRS (United Kingdom)
• ASCAP/BMI/SESAC (United States)
• SACEM (France)
• Similar organizations in your territory

1555 Music Curation does not provide public performance licenses. Soundtrack's upstream licensing does NOT replace local public performance licensing requirements.

5. Digital Product Delivery

5.1 Delivery Timing

Your PDF containing Soundscape access links and license information will be delivered immediately after successful payment processing via email and through your Payhip purchase confirmation.

5.2 Customer Responsibility for Access

You are responsible for:

• Downloading your PDF within a reasonable timeframe
• Storing your PDF and Soundscape links securely
• Accessing the private Spotify links provided
• Setting up any Soundtrack account (if choosing that playback option)
• Understanding your licensing obligations before purchase

5.3 Lost Access

If you lose access to your PDF or Soundscape links:

• Contact us at info@1555.earth with your purchase confirmation
• We will resend your PDF delivery at no additional charge
• You must provide proof of purchase for access restoration

5.4 Link Longevity

Private Spotify links are designed to remain active indefinitely. However:

• Spotify platform changes may occasionally affect link functionality
• Individual tracks may become unavailable due to artist/label decisions
• We will make reasonable efforts to provide updated links if original links become non-functional
• Such occurrences do not entitle customers to refunds

6. Technical Requirements and Compatibility

6.1 Soundtrack Setup Requirements

For Soundtrack platform use:

• Wi-Fi connection for streaming
• Phone, tablet, or computer to control playback
• Speaker system connected via Bluetooth, cable, or AirPlay
• Active Soundtrack subscription

6.2 Sonos System Compatibility

Soundscapes are compatible with Sonos systems when used with Soundtrack, but Sonos has technical limitations:

• No automatic scheduling - Manual alarm setup required for timed transitions
• Manual configuration required - You handle scheduling setup yourself
• Audio quality - Sonos streams at 96 kbps
• Limited remote control - Requires being on same Wi-Fi network
• Customer responsibility - Technical support for Sonos is provided by Soundtrack, not 1555

7. Refund and Cancellation Policy

7.1 No Refund Policy - Digital Content

Due to the digital nature of our service, no refunds are provided after PDF delivery under any circumstances. By purchasing our service, you agree to:

• Loss of your right of withdrawal under EU Consumer Rights Directive Article 16(m) for digital content where performance has begun with your express consent
• The immediate delivery of your PDF upon purchase confirmation

7.2 What You Receive After Purchase

After purchase confirmation, you immediately receive:

• PDF delivery containing your Soundscape access links
• License documentation specifying permitted use
• Setup resources including Soundtrack links and Help Center access

7.3 Customer Responsibilities

You are responsible for:

• Understanding your license requirements before purchase
• Downloading and storing your PDF securely
• Obtaining all required public performance licenses from your local collection society
• Setting up any third-party accounts (Spotify, Soundtrack) independently
• Technical compatibility of your systems with Spotify or Soundtrack platforms
• Understanding platform requirements before purchase

7.4 Track Content Changes

Individual tracks within Soundscapes may occasionally change due to artist/label distribution decisions or licensing requirements beyond our control. Such changes:

• Affect minimal content within the overall Soundscape
• Do not entitle customers to refunds or compensation
• Are standard occurrences across all music platforms

8. Acceptable Use

8.1 Permitted Use

Your licensed Soundscapes may be used for:

• Commercial venue background music in physical locations covered by your license
• Business environments where customers and staff are present
• Retail, hospitality, office, and similar commercial spaces
• The specific number of locations purchased in your license tier

8.2 Prohibited Use

Your licensed Soundscapes may NOT be used for:

• Direct Spotify playback for commercial purposes
• Online content (websites, videos, live streaming, podcasts)
• Social media posts or digital marketing materials
• DJ performances or live music events
• Exercise classes where music is the primary feature
• Radio broadcasting or any form of broadcasting
• Personal or residential use
• Any form of redistribution, sharing, or resale
• More locations than specified in your license
• Transfer to other businesses or entities
• Sharing private Spotify links with unauthorized parties
• Any use that violates Spotify or Soundtrack's terms of service

8.3 Attribution Requirements

When using Soundscape names or curator information in marketing materials, proper attribution to 1555 Music Curation and the creating curator must be provided.

8.4 Explicit Content Filtering

We offer optional explicit content filtering for customers who request it during purchase. This filter relies on explicit content labeling provided by artists, labels, and distributors. We cannot guarantee complete accuracy as labeling is performed by third parties. Customers acknowledge that:

• Explicit content filtering depends on accurate labeling by content creators and distributors
• Some tracks may be incorrectly labeled or unlabeled by their creators
• We are not responsible for mislabeling by artists, labels, or distribution platforms
• Filtering effectiveness may vary based on third-party metadata accuracy
• Enabling explicit content filtering may reduce the total content duration of your Soundscape

8.5 Right to Decline Service

We reserve the right to decline service to any venue or business at our discretion. This includes venues whose business practices, content, or activities we determine to be incompatible with our brand values or curator partnerships. We are not obligated to provide reasons for declining service. Any declined orders placed will receive full refunds prior to PDF delivery.

9. Intellectual Property

9.1 Soundscape Ownership

All Soundscapes remain the intellectual property of 1555 Music Curation and/or the individual curators. Your license grants usage rights only and does not transfer ownership of the Soundscape content, curation, or selection.

9.2 Music Licensing

Underlying music rights for commercial use are licensed through:

• Soundtrack - Required for compliant commercial playback
• Spotify - Technical delivery platform only; commercial playback via Spotify violates their terms of service

You remain responsible for obtaining all required public performance licenses from your local collection society.

9.3 Third-Party Platform Terms

By using Soundtrack for playback, you agree to comply with their terms of service:

Spotify links are provided for technical compatibility with Soundtrack only. Commercial use via direct Spotify playback violates Spotify's Terms of Service and is prohibited under your license.

9.4 License Restrictions

Your license is:

• Non-transferable - Cannot be sold, assigned, or transferred to another business
• Location-specific - Limited to the number of venues specified in your license tier
• Non-exclusive - We may license the same Soundscape to other customers
• Perpetual - Valid indefinitely subject to compliance with these terms and maintaining required performance licenses

9.5 License Compliance and Misuse

Commercial use of Soundscapes is only permitted through Soundtrack. Using Spotify links for direct commercial playback, sharing links with unauthorized parties, or using links beyond your licensed number of locations constitutes a breach of these terms and may result in:

• License termination without refund
• Legal action for copyright infringement
• Liability for damages
• Violations of Spotify's terms of service

1555 Music Curation is not responsible for consequences arising from customer misuse of Soundscape links in violation of these terms or third-party platform terms of service.

9.6 Trademark

"1555," "1555 Music Curation," and related marks are trademarks of 1555 Music Curation and may not be used without written permission.

10. Data Protection and Privacy

10.1 Data Collection

We collect and process:

• Business contact information
• Venue details and location information
• Purchase and billing data
• Communications with our support team

10.2 Data Use

Customer data is used for:

• License delivery and product fulfillment
• Purchase confirmations and important notices
• Customer support and inquiries
• Internal marketing analysis and service improvements

10.3 GDPR Compliance

As an EU company, we comply with GDPR requirements. Customers have the right to:

• Access their personal data
• Request correction of inaccurate data
• Request deletion of personal data (subject to legal retention requirements)
• Data portability where technically feasible

11. Service Availability and Support

11.1 Service Dependencies

Our Soundscapes are delivered via Spotify links and may optionally be used with Soundtrack. We do not guarantee:

• Specific uptime percentages for Spotify or Soundtrack platforms
• Availability of specific tracks indefinitely
• Specific response times for non-critical issues

11.2 Support Responsibilities

• 1555 handles: Purchase questions, license clarification, PDF redelivery, Soundscape content questions
• Soundtrack handles: Technical playback issues, app support, account setup assistance, streaming problems, Soundtrack subscription billing
• Customer responsibility: Compliance with Spotify and Soundtrack terms of service

11.3 Service Limitations

Service availability may be affected by:

• Spotify or Soundtrack platform maintenance or outages
• Internet connectivity issues at customer locations
• Changes in music licensing agreements affecting track availability
• Events beyond our control

Customers using Soundscapes through any method other than Soundtrack do so at their own risk and in violation of these terms.

11.4 Content Finality

Soundscape content is final upon purchase and delivery. We do not provide:

• Custom modifications to purchased Soundscapes
• Track substitutions or changes based on customer preference
• Updates or revisions to delivered Soundscapes

Customers seeking modified or customized Soundscapes should contact us before purchase to discuss bespoke curation services.

11.5 Service Availability by Territory

Soundscape licenses are available for commercial venues in the following territories:

Africa: Egypt, Morocco, South Africa

Asia Pacific: Australia, India, Indonesia, Malaysia, Maldives, New Zealand, Singapore, Thailand

Caribbean: Anguilla, Bahamas, Bermuda, Cayman Islands, Martinique, Puerto Rico

Europe: Austria, Belgium, Bulgaria, Croatia, Cyprus, Czech Republic, Estonia, Germany, Denmark, Finland, France, Gibraltar, Greece, Hungary, Iceland, Ireland, Italy, Latvia, Liechtenstein, Lithuania, Luxembourg, Malta, Netherlands, Norway, Poland, Portugal, Slovakia, Spain, Sweden, Switzerland, Turkey, United Kingdom

Latin America: Argentina, Bolivia, Chile, Colombia, Costa Rica, Ecuador, Guatemala, Honduras, Nicaragua, Panama, Paraguay, Peru, Uruguay

Customers must comply with all local licensing requirements in their territory.

12. Limitation of Liability

12.1 Service Interruptions

We are not liable for business losses resulting from service interruptions caused by third-party platform issues (Spotify, Soundtrack), licensing changes, or technical problems beyond our direct control.

12.2 Maximum Liability

Our total liability to any customer shall not exceed the total amount paid by that customer for the specific license giving rise to the claim.

12.3 Excluded Damages

We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities
• Data loss or corruption
• Third-party claims related to music licensing or copyright
• Issues arising from customer's failure to obtain required public performance licenses
• Customer's failure to comply with Spotify or Soundtrack terms of service
• Consequences of using Soundscapes through unauthorized playback methods
• Copyright infringement claims arising from improper use of Soundscapes

12.4 Equipment and Hardware Damage

We are not liable for damage to customer equipment, hardware, or audio systems resulting from the use of our service, including:

• Speaker damage from volume levels or audio content
• Amplifier or sound system malfunction
• Device damage from app installation or usage
• Network equipment issues related to streaming

Customers are responsible for ensuring their equipment is properly configured, maintained, and operated within safe parameters.

12.5 Third-Party Platform Issues

We are not liable for:

• Changes to Spotify or Soundtrack's terms, pricing, or service availability
• Platform technical issues or outages
• Platform decisions to terminate or suspend customer accounts
• Track availability changes due to platform or rights holder decisions
• Consequences of customer violating Spotify or Soundtrack terms of service

12.6 Licensing Compliance

We are not liable for:

• Customer's failure to obtain required public performance licenses
• Fines, penalties, or legal action resulting from unlicensed public performance
• Claims from collection societies regarding unpaid performance royalties
• Misunderstanding of licensing requirements

Customers are solely responsible for understanding and complying with all music licensing requirements in their territory.

12.7 Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control.

13. Changes to Service and Terms

13.1 Service Changes

We reserve the right to modify, suspend, or discontinue any aspect of our service with reasonable notice. Changes do not affect licenses already purchased and delivered.

13.2 Terms Updates

These terms may be updated periodically. The current version will always be available on our website with the "Last Updated" date clearly shown. Material changes will be communicated via email to customers with existing licenses. Continued use of your Soundscape after term updates constitutes acceptance of the revised terms.

13.3 Platform Dependencies

If Spotify or Soundtrack significantly changes their service in a way that affects access to purchased Soundscapes, we will make reasonable efforts to provide alternative delivery methods or assistance, but cannot guarantee continued access through the original platform.

14. Dispute Resolution

14.1 Direct Resolution

Before initiating formal proceedings, parties agree to attempt direct resolution through good faith discussions for a period of 30 days.

14.2 Governing Law and Jurisdiction

These terms are governed by German law. Legal proceedings shall be conducted in the courts of Berlin, Germany, which shall have exclusive jurisdiction over any disputes arising from these terms.

14.3 Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

16. Acceptance

By purchasing our service, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions. You specifically acknowledge understanding that:

• Refunds are not provided after digital delivery
• Commercial use requires Soundtrack subscription and proper setup
• Direct Spotify playback for commercial purposes violates both your license and Spotify's terms of service
• You are responsible for obtaining all required public performance licenses
• Your license is limited to the number of locations purchased
• Spotify playlist links are for adding to your Soundtrack account only and must not be used for direct commercial playback or shared with unauthorized parties

These terms constitute the entire agreement between 1555 Music Curation and the customer regarding your Soundscape license.

These terms and conditions are effective as of the date of your purchase. Please retain a copy for your records.
